1. Agreement to Terms
Welcome to TheraJunction. These Terms of Service ("Terms") govern your access to and use of the TheraJunction website, web application, and related services (collectively, the "Service") provided by TheraJunction ("TheraJunction," "we," "us," or "our").
By creating an account, signing a Business Associate Agreement, or otherwise accessing or using the Service, you agree that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a clinic, practice, or other organization, you represent that you have the authority to bind that entity, and references to "you" include both you and that organization.
If you do not agree with these Terms, you may not access or use the Service.
2. The Service
TheraJunction is a software platform designed for speech-language pathologists and related clinical practices. The Service includes AI-assisted clinical documentation (such as SOAP note drafting), practice management tools, home-practice assignment, and telehealth capabilities. The Service is provided to clinicians and practices as a business-to-business software tool.
3. Eligibility & Professional Credentials
You represent and warrant that you are authorized to use the Service in connection with the clinical activities you perform, including holding any professional licenses, certifications, and credentials required by the jurisdictions in which you practice. You are solely responsible for maintaining the active status and scope of your licenses and for practicing only within your authorized scope of practice. TheraJunction does not verify, sponsor, or guarantee any professional credential and is not a licensing or certifying body.
4. Accounts & Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use or security breach. We may suspend or terminate access following a suspected or actual security incident to protect you and your patients.
5. Your Responsibilities
You agree to:
- provide accurate and complete information;
- use the Service in compliance with all applicable laws and regulations, including HIPAA and other health-privacy laws;
- obtain any consents and authorizations required to submit patient information to the Service;
- maintain an executed Business Associate Agreement with us where applicable;
- configure and use the Service's access controls appropriately for your practice; and
- ensure that individuals you invite to use the Service under your account comply with these Terms.
6. The Service Is Not Medical Advice; Clinical Responsibility
The Service, including any AI-generated notes, summaries, transcriptions, or recommendations, is provided as a clinical decision-support and productivity tool. It is not a substitute for your independent professional judgment.
7. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose or in violation of these Terms;
- submit content that you do not have the right or consent to submit;
- attempt to access data that does not belong to you or your practice;
- reverse engineer, decompile, or otherwise attempt to extract the Service's underlying models or software;
- introduce malware or otherwise interfere with the Service's security or operation; or
- use the Service to train or develop a competing product.
8. Payments, Billing & Subscriptions
Fees, billing cycles, and plan features are described at the time of subscription or in a separate order form. You authorize us to charge the applicable fees to your designated payment method. Fees are generally non-refundable except where required by law. We may change fees with reasonable advance notice; any change takes effect at the start of your next renewal cycle.
9. Telehealth & Third-Party Services
The Service may integrate with or connect to third-party tools such as video conferencing, calendars, and payment processors. Third-party services are governed by their own terms and privacy practices, and we are not responsible for their conduct. Where telehealth features are used, you are responsible for complying with applicable telehealth laws, licensure requirements, and patient-consent obligations.
10. Intellectual Property
We retain all right, title, and interest in the Service, including the software, designs, documentation, and any aggregated or de-identified insights derived from use of the Service. These Terms do not grant you any right to use our trademarks, branding, or other intellectual property except as necessary to use the Service.
11. Your Content & Data
You retain ownership of the content and data you submit, including clinical notes, patient records, and practice information ("Customer Data"). You grant us a limited license to host, store, transmit, and process Customer Data solely as necessary to provide the Service and as permitted under your Business Associate Agreement. 12. Confidentiality & Protected Health Information
Because the Service may create, receive, maintain, or transmit protected health information (PHI) on your behalf, we handle PHI in accordance with HIPAA and the terms of our Business Associate Agreement. You may request a Business Associate Agreement by contacting us.
13. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate or complete.
14. Limitation of Liability
To the fullest extent permitted by law, in no event will TheraJunction be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to the Service. Our total aggregate liability for any claim is limited to the amount you paid us for the Service in the twelve (12) months preceding the claim. Nothing in these Terms limits any liability that cannot be limited under applicable law, including certain obligations under a Business Associate Agreement.
15. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your Customer Data, your use of the Service, your breach of these Terms, or your violation of applicable law or the rights of others, except to the extent a matter results from our breach or negligence.
16. Term & Termination
These Terms begin when you access the Service and continue until terminated. You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or upon reasonable notice for our convenience. Upon termination, your right to use the Service ends; you should export your Customer Data beforehand, as we may delete it after the retention period described in our Privacy Policy.
17. Changes to These Terms
We may update these Terms from time to time. We will indicate the "Last updated" date above and provide notice of material changes through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which TheraJunction is organized, without regard to conflict-of-laws principles. The parties will attempt to resolve disputes informally first; disputes that cannot be resolved informally will be brought in the courts of that jurisdiction.
